Terms of Service

These Terms of Service (“Terms”) govern access to and use of the TerraTester laboratory information management service (the “Service”), provided by Terra Tester (“we”, “us” or “our”). By creating an account or using the Service you agree to these Terms. If you use the Service on behalf of an organisation, you represent that you are authorised to bind that organisation, which is then the “Customer”.

1. The Service

TerraTester is a hosted, multi-tenant laboratory information management system for materials-testing laboratories. It records jobs, samples, specimens, test results, conformity assessments and certificates, and manages the users of each laboratory account. We may improve, modify or add features over time. The Service is a tool; it does not itself certify results, and the Customer remains responsible for the correctness and use of the records and certificates it produces.

2. Accounts and access

Each laboratory is a separate tenant with its own isolated data. The Customer's administrator manages its users, their roles and their permissions, and is responsible for maintaining the confidentiality of credentials and for all activity under the account. Access is limited to the modules and user seats included in the Customer's plan, and may be suspended where a subscription lapses or these Terms are breached.

3. Acceptable use

The Customer agrees not to: use the Service unlawfully; attempt to access data belonging to another tenant or to circumvent security or access controls; probe, scan or test the vulnerability of the Service without authorisation; interfere with its integrity or availability; or upload unlawful, infringing or malicious content. We may suspend access where necessary to protect the Service or other customers.

4. Customer Data

“Customer Data” means the data a laboratory enters into the Service. As between the parties, the Customer owns all Customer Data. The Customer grants us the limited, non-exclusive rights necessary to host, process and transmit Customer Data to provide and support the Service. Our processing of personal data within Customer Data is governed by our Privacy Policy and, where applicable, our Data Processing Addendum.

5. Fees

Subscriptions are billed through Stripe; the applicable plan, seats and billing terms are those agreed with the Customer in writing. Fees are exclusive of applicable taxes. Except where required by law or expressly agreed, fees are non-refundable.

6. Confidentiality

Each party may receive information of the other that is confidential. Each party will protect the other's confidential information with reasonable care and use it only to perform under these Terms, excepting information that is public through no fault of the recipient or that must be disclosed by law.

7. Warranties and disclaimers

We will provide the Service with reasonable skill and care. Except as expressly stated, the Service is provided “as is” and “as available”, and to the fullest extent permitted by law we disclaim all other warranties, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted or error-free.

8. Limitation of liability

To the fullest extent permitted by law, neither party is liable for indirect, incidental, special or consequential loss, or for lost profits or data, arising out of these Terms. Our total aggregate liability arising out of or relating to the Service is limited to the fees paid by the Customer in the 0 months preceding the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded by law.

9. Term and termination

These Terms apply while the Customer uses the Service. Either party may terminate as set out in the applicable order or on 30 days written notice, and we may suspend or terminate for material breach. On termination we will suspend access; on the Customer's request within 30 days we will make Customer Data available for export, after which it may be deleted in accordance with our Privacy Policy.

10. Changes

We may update these Terms from time to time. Material changes will be posted here with a revised effective date and, where appropriate, notified to account administrators. Continued use after changes take effect constitutes acceptance.

11. Governing law

These Terms are governed by the laws of the applicable jurisdiction, and the parties submit to the exclusive jurisdiction of its courts, without regard to conflict-of-laws principles.
